Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Spectrum X, operating as Home Build Flow("we," "our," or "us"). By accessing or using the Home Build Flow platform available at homebuildflow.ai, you agree to be bound by these Terms.

If you are using Home Build Flow on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not access or use the platform.

2. Service Description

Home Build Flow is a cloud-based construction management platform designed for custom home builders. The platform provides tools for project scheduling, milestone tracking, task management, subcontractor coordination, process templates, and workflow automation. The specific features available to you depend on your subscription plan.

We reserve the right to modify, update, or discontinue any feature of the platform at any time. We will provide reasonable notice for significant changes that affect your use of the service.

3. User Accounts

To use Home Build Flow, you must create an account with accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Promptly notifying us of any unauthorized access or security breach
• Keeping your account information current and accurate

You must not share your account credentials, create accounts using false information, or create multiple accounts to circumvent plan limitations. We reserve the right to suspend or terminate accounts that violate these provisions.

4. Subscriptions and Billing

Home Build Flow offers subscription-based access to the platform. By subscribing, you agree to the following:

• Fees: Subscription fees are charged in advance on a monthly or annual basis, depending on the plan selected. Current pricing is available on our pricing page.
• Renewals: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
• Price Changes:We may adjust pricing with at least 30 days' notice before the start of your next billing period. Continued use after the price change constitutes acceptance of the new price.
• Refunds: Monthly subscriptions are non-refundable. Annual subscriptions may be eligible for a pro-rata refund within the first 30 days if you are not satisfied with the service.
• Taxes: Fees are exclusive of applicable taxes unless stated otherwise.

5. Acceptable Use

You agree to use Home Build Flow only for lawful purposes and in accordance with these Terms. You must not:

• Use the platform for any purpose other than legitimate construction project management
• Attempt to gain unauthorized access to any part of the platform, other users' accounts, or our systems
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the platform
• Upload malicious software, viruses, or harmful code
• Use the platform to store or transmit content that is unlawful, infringing, defamatory, or otherwise objectionable
• Resell, sublicense, or redistribute access to the platform without a valid Enterprise or white-label agreement
• Use automated tools to scrape, crawl, or extract data from the platform without our written consent
• Interfere with or disrupt the platform's infrastructure or other users' access

6. Your Data

You retain ownership of all data, content, and materials you upload to or create within Home Build Flow("Your Data"). By using the platform, you grant us a limited, non-exclusive license to host, store, process, and display Your Data solely for the purpose of providing the service to you.

You are responsible for the accuracy and legality of Your Data. We do not access Your Data except as necessary to provide the service, address technical issues, or comply with legal obligations.

You may export Your Data at any time during your active subscription. Upon cancellation, we retain Your Data for 30 days to allow for export, after which it is permanently deleted unless we are required by law to retain it.

7. Intellectual Property

The Home Build Flow platform, including its software, design, methodology, process templates, documentation, logos, and all related intellectual property, is owned by Spectrum X and is protected by copyright, trademark, and other intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to use the platform during your subscription period. This license does not grant you any rights to our intellectual property beyond what is necessary to use the service.

Process templates you create within the platform are your intellectual property. Pre-built templates and methodology frameworks provided by Home Build Flow remain our intellectual property.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the service relationship. This includes, but is not limited to, business plans, project data, technical specifications, and pricing information not publicly available.

Confidentiality obligations do not apply to information that is publicly available, independently developed, lawfully received from a third party, or required to be disclosed by law.

9. Third-Party Services

Home Build Flow may integrate with or provide links to third-party services (payment processors, file storage, communication tools). These services are governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services, and your use of them is at your own risk.

10. Warranties and Disclaimers

Home Build Flowis provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not guarantee specific construction outcomes, project timelines, or cost savings from using the platform.

While our methodology and process templates are based on proven construction practices, they are tools to support your decision-making, not substitutes for professional construction judgment.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Spectrum X and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of data or data corruption
• Construction delays, defects, or cost overruns
• Business interruption or loss of goodwill
• Damages arising from reliance on platform outputs or methodology recommendations

Our total cumulative liability for all claims arising from or related to these Terms or the platform shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Spectrum X from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the platform, violation of these Terms, or infringement of any third party's rights.

13. Termination

You may terminate your account at any time through your account settings or by contacting us. We may terminate or suspend your access immediately, without prior notice, if:

• You breach these Terms
• Your subscription payment fails and is not resolved
• We reasonably believe your use poses a security risk to the platform or other users
• We are required to do so by law

Upon termination, your right to access the platform ceases immediately. We will retain Your Data for 30 days following termination to allow for export. Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.

14. Changes to These Terms

We may modify these Terms at any time. We will provide at least 30 days' notice for material changes by posting the updated Terms on this page and, where appropriate, notifying you via email or through the platform.

Your continued use of Home Build Flow after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the platform and cancel your subscription.

15. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the United Kingdom, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the platform shall be resolved through good-faith negotiation first, and if unresolved, through binding arbitration or the courts of the United Kingdom.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Spectrum X regarding your use of Home Build Flow. They supersede all prior agreements, communications, and understandings, whether written or oral, relating to the subject matter.
